These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you", or "your") and Cointab Software Private Limited, a company incorporated under the laws of India, having its registered office at Mumbai, India ("Cointab", "we", "our", or "us"). These Terms govern your access to and use of Everdone (the "Service"), including all features, functionality, content, and websites operated under the everdone.ai domain.
By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you may not access or use the Service.
1. Acceptance of terms
By using the Service, you represent and warrant that you have the full legal capacity and authority to enter into and comply with these Terms.
These Terms apply to all visitors, registered users, and customers of Everdone.
If you are entering into these Terms on behalf of an organization or entity, you represent that you have the authority to bind such an entity to these Terms, and all references to "you" or "Customer" shall refer to that entity.
2. Services offered
Everdone provides AI-powered Work-as-a-Service solutions that automate professional tasks and workflows, including but not limited to CodeDoc and other developer and enterprise automation services.
Cointab may enhance, modify, or discontinue features of the Service at its discretion, provided such changes do not materially degrade the core functionality of the Service for paid customers.
The Service is provided for lawful use only and subject to these Terms and any applicable usage or feature-specific conditions.
3. User accounts
To access certain features, you must create an account. You agree to:
Provide accurate and complete registration information
Maintain the confidentiality of your login credentials
Accept responsibility for all activities that occur under your account
Account sharing, impersonation, or unauthorized use of another user's credentials is strictly prohibited. You must promptly notify [email protected] of any unauthorized use or suspected security breach.
4. Payments & usage-based pricing
4.1 Pricing and taxes
All prices, fees, and charges displayed on Everdone are exclusive of applicable taxes, levies, or duties, which shall be borne by the Customer as per applicable law.
4.2 Wallet and credits
Everdone operates on a wallet-based, pay-as-you-go model. Customers may add credits to their account wallet and use them to access Everdone's services. Charges are applied based on actual consumption of services (for example, per file processed or stored).
4.3 No refunds
All payments are final. Wallet credits are non-transferable and non-refundable, except where required by law.
4.4 Credit expiry
Unused wallet credits shall automatically expire after twelve (12) months from the date of purchase and shall not be refundable or reinstated.
4.5 Billing adjustments
Cointab reserves the right to correct any billing errors or adjust pricing upon notice. Continued use after such notice constitutes acceptance of revised pricing.
5. Content ownership
5.1 User content
All data, code, and materials uploaded or submitted by you to the Service ("User Content") remain your sole property.
Cointab does not claim any ownership rights over your User Content. You grant Cointab a non-exclusive, worldwide, royalty-free license to process such content solely for the purpose of providing and improving the Service.
5.2 Generated output
The outputs, documentation, and analyses generated through Everdone ("Output") are owned by you, subject to your compliance with these Terms. You are responsible for the use and distribution of such Output.
5.3 Cointab IP
All rights, title, and interest in and to the Service, including software, algorithms, AI models, user interfaces, trademarks, and related intellectual property, remain the exclusive property of Cointab and its licensors.
Except as expressly granted, no license or rights are conferred to you under any intellectual property of Cointab.
6. Confidential information
Each party may have access to certain non-public, proprietary, or confidential information of the other party ("Confidential Information").
Neither party shall disclose or use the other party's Confidential Information for any purpose other than performing obligations under these Terms, except as required by law.
Confidentiality obligations shall survive termination of these Terms for a period of three (3) years.
7. Use restrictions
You agree not to:
Use the Service for any unlawful, harmful, or fraudulent purpose
Upload malicious code, viruses, or automated scripts
Access or attempt to access data of other users
Reverse engineer, decompile, or copy the Service or its underlying systems
Use automated tools to abuse the Service (including scraping or bulk querying).
Cointab may suspend or terminate access if such prohibited conduct is detected.
8. Availability & uptime
Cointab shall use commercially reasonable efforts to ensure availability of the Service. However, the Service is provided on a best-effort basis and may be subject to downtime for maintenance, upgrades, or unforeseen technical issues.
Cointab disclaims all responsibility for any loss, damage, or inconvenience caused by such interruptions.
9. Representations and warranties
Each party represents and warrants that:
It has full power and authority to enter into these Terms
Its performance of these Terms will comply with all applicable laws.
Except as expressly stated, Cointab makes no warranties, express or implied, regarding the Service, including but not limited to merchantability, fitness for a particular purpose, accuracy, or non-infringement.
10. Disclaimer
The Service is provided "as is" and "as available" without warranty of any kind.
You acknowledge that AI-generated outputs may not be error-free and should not be relied upon as professional, legal, or financial advice.
Cointab does not guarantee continuous or error-free operation or that the Service will meet your expectations.
11. Indemnification
You agree to indemnify, defend, and hold harmless Cointab, its directors, employees, agents, and affiliates from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with:
Your use of the Service;
Violation of these Terms; or
Infringement of any third-party rights by your User Content or use of the Service.
12. Limitation of liability
To the maximum extent permitted by law:
Cointab shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of or relating to the Service.
Cointab's total cumulative liability for any claim under these Terms shall not exceed the total amount paid by you to Cointab during the twelve (12) months preceding the event giving rise to such claim.
13. Publicity
Unless otherwise agreed in writing, Cointab may identify you as a customer and use your name and logo for marketing and promotional purposes
14. Termination
Cointab may suspend or terminate your account for breach of these Terms or misuse of the Service.
You may terminate your account at any time by contacting [email protected]. Upon termination, access to your account will cease, and your data will be handled per our data retention policy.
Provisions which by their nature should survive termination (including confidentiality, IP, limitation of liability, and indemnification) shall continue in full force.
15. Change to terms
Cointab reserves the right to modify these Terms at any time. Updated versions will be posted on this page with a revised effective date.
Material changes will be communicated via email or in-app notification. Continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.
16. Miscellaneous
16.1 Notices
All notices under these Terms shall be sent by email to [email protected] or to the Customer's registered email address.
16.2 Assignment
You may not assign or transfer your rights or obligations under these Terms without Cointab's prior written consent. Cointab may assign these Terms to any affiliate, subsidiary, or successor in interest of any business associated with our Services.
16.3 Force majeure
Cointab shall not be liable for any delay or failure to perform due to causes beyond its reasonable control, including natural disasters, war, strikes, or internet outages.
16.4 Dispute resolution and governing law
If any dispute or difference arises between the parties under or in connection with these Terms, including any question regarding their interpretation, application, rights, or liabilities (the "Dispute"), the following procedure shall apply:
Pre-Arbitration Requirement
A party must not commence any court proceedings (except for seeking urgent or interim relief) in relation to a Dispute unless it has first complied with this clause.
Notice of Dispute
A party claiming that a Dispute has arisen shall give written notice to the other party specifying the particulars of the Dispute and the relief sought.
Good Faith Negotiation
The parties shall first endeavour to resolve the Dispute amicably through mutual discussions within thirty (30) days of such notice.
Arbitration
If the Dispute cannot be settled by mutual discussion within the above period, it shall be referred to and finally resolved by arbitration before a sole arbitrator mutually appointed by both parties, in accordance with the provisions of the Arbitration and Conciliation Act, 1996, India and any statutory modification or re-enactment thereof for the time being in force.
The arbitration proceedings shall:
Be conducted in the English language
Be held in Mumbai, India
Result in a reasoned award, which shall be final and binding on both parties.
Jurisdiction
Subject to the above arbitration process, the courts at Mumbai, India shall have exclusive jurisdiction for any matters arising under or in connection with these Terms.
16.5 No agency
Nothing in these Terms creates a partnership, joint venture, or employment relationship between the parties.
16.6 Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
16.7 Entire agreement
These Terms constitute the entire agreement between you and Cointab with respect to the Service and supersede all prior or contemporaneous communications or understandings.
